1. Operator of the Platform
newfaces.global is a brand operated by quqii UG (haftungsbeschränkt), Blankeneser Chaussee 22 G, 22869 Schenefeld, Germany.

2. Scope of These Terms
These Terms & Conditions govern the access to and use of the newfaces.global platform. By creating an account or using the platform, users agree to these Terms.
The platform is currently under development. Features may be changed, limited, expanded, suspended, or discontinued at any time.
3. Description of the Service
newfaces.global enables users to create digital Sedcards by uploading photos and profile information. These Sedcards may be viewed by other users, including clients, talent scouts, agencies, companies, or other interested parties.
Registered client users may contact talents through the platform. In such cases, newfaces.global may forward the client’s contact details, including email address, to the talent. The talent may then decide independently whether to respond or enter into further communication.
4. Role of newfaces.global
newfaces.global acts solely as a technical platform and intermediary for initiating contact between users.
newfaces.global is not a talent agency, employment agency, casting agency, employer, representative, broker, contracting party, or guarantor for any agreement, job, engagement, payment, collaboration, or other relationship between users.
Any contact, negotiation, agreement, job, booking, payment, dispute, or legal relationship resulting from the use of the platform exists exclusively between the respective users. newfaces.global assumes no responsibility for such interactions.
5. User Accounts
Users may browse parts of the platform free of charge. After registration, users may create a free profile and Sedcard.
Users must provide accurate, current, and complete information. Users are responsible for keeping their login credentials confidential and for all activities carried out through their account.
The operator may refuse registration, restrict access, suspend, or delete accounts where there is a reasonable suspicion of misuse, false information, unlawful conduct, or violation of these Terms.
6. Age Requirements
The platform is intended for users aged 16 years or older.
Users aged 14 or 15 may only use the platform where legally permitted and with the prior consent of a parent or legal guardian. The operator may request proof of such consent and may suspend or delete accounts if sufficient proof is not provided.
7. User Content
Users are solely responsible for all content they upload, publish, or provide, including photos, profile text, names, descriptions, and other information.
By uploading content, users confirm that they own all required rights or have obtained all necessary permissions, licenses, consents, and releases, including from photographers, models, agencies, rights holders, and depicted persons.
Users must not upload content that infringes third-party rights, including copyright, trademark rights, personality rights, privacy rights, image rights, or contractual obligations.
8. License to Use Uploaded Content
By uploading content, users grant newfaces.global a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, resize, technically process, and make the content available on the platform to the extent necessary to operate, promote, maintain, and improve the service.
This license ends when the relevant content is deleted, unless continued storage is required for legal, security, backup, fraud prevention, or dispute-resolution purposes.
9. Prohibited Content and Conduct
Users must not upload, publish, transmit, or otherwise make available content that is illegal, offensive, abusive, discriminatory, threatening, defamatory, misleading, fraudulent, sexually explicit, exploitative, or otherwise inappropriate.
Users must not use the platform for scams, fake profiles, impersonation, harassment, spam, unauthorized advertising, data scraping, phishing, malware distribution, or any other misuse.
Users must not attempt to bypass security measures, interfere with the platform’s operation, gain unauthorized access to systems or accounts, or use automated tools without prior written permission.
10. Moderation and Enforcement
newfaces.global may review, moderate, remove, restrict, or disable access to content or accounts at its own reasonable discretion, especially where content appears to violate these Terms, applicable law, third-party rights, or platform safety standards.
The operator may suspend or delete accounts and may block email addresses in cases of serious or repeated violations.
Although the operator may take measures to prevent offensive content, fraud, and misuse, it cannot guarantee that all problematic content or conduct will be detected or removed immediately.
11. Client Accounts
Clients, agencies, scouts, companies, and other interested parties may create client accounts to discover and contact talents.
Client users must use the platform professionally, lawfully, and respectfully. Any offers, opportunities, messages, or requests sent to talents must be truthful, lawful, and not misleading.
Clients are solely responsible for any contact, offer, agreement, booking, payment, or collaboration with talents.
12. Free and Paid Services
The basic version of the platform is currently available free of charge.
The operator may offer paid features in the future, including a Verified Badge for talents and premium features for client accounts.
The availability, scope, pricing, and conditions of paid features may be introduced, changed, or discontinued at any time, subject to applicable law.
13. Subscriptions
Paid subscriptions, where available, are billed monthly unless stated otherwise during checkout.
Subscriptions renew automatically for successive monthly periods unless cancelled before the end of the current billing period.
Users may cancel a subscription at any time. Cancellation takes effect at the end of the already paid billing period. Access to paid features remains available until the end of that period.
14. Payments via Stripe
All payments are processed by the third-party payment provider Stripe. By making a payment, users may also be subject to Stripe’s own terms, privacy notices, and payment processing conditions.
newfaces.global does not store full payment card details. Payment processing is handled by Stripe.
15. Refunds
Unless required by mandatory consumer protection law, statutory withdrawal rights, or expressly stated otherwise, subscription payments are non-refundable.
No partial refunds are granted for unused subscription periods after cancellation, account suspension, or account deletion, unless required by applicable law.
16. Consumer Withdrawal Rights
Where users qualify as consumers under applicable law, mandatory statutory withdrawal rights may apply to paid services.
If a paid digital service begins before the expiry of a statutory withdrawal period, the user may be asked to expressly consent to immediate performance and acknowledge that this may affect or waive the withdrawal right, where legally permitted.
Nothing in these Terms limits mandatory consumer rights that cannot legally be excluded.
17. No Guarantee of Contacts, Jobs, or Results
newfaces.global does not guarantee that talents will be contacted, discovered, selected, hired, booked, verified, or paid.
newfaces.global does not guarantee the identity, reliability, seriousness, legality, or suitability of any user, client, agency, scout, company, opportunity, or offer.
Users are responsible for verifying contacts, opportunities, contracts, payments, and the seriousness of third parties before entering into any arrangement.
18. User Responsibility and Safety
Users are solely responsible for their decisions, communications, meetings, contracts, collaborations, and payments resulting from platform contacts.
Users should exercise caution when communicating with unknown parties and should not share sensitive personal, financial, or identification information unless they are certain of the recipient’s legitimacy.
19. Availability and Technical Changes
The operator aims to provide reliable access to the platform but does not guarantee uninterrupted availability, permanent accessibility, error-free operation, or the continued availability of specific features.
The platform may be unavailable due to maintenance, updates, technical issues, security measures, or events outside the operator’s control.
20. Intellectual Property of the Platform
All rights in the platform, including software, design, layout, trademarks, logos, branding, databases, and technical infrastructure, remain with the operator or its licensors.
Users may not copy, reproduce, modify, distribute, sell, reverse engineer, or exploit any part of the platform without prior written permission, except where legally permitted.
21. Liability
The operator is liable without limitation for intent, gross negligence, injury to life, body, or health, and where liability is mandatory under applicable law.
In cases of slight negligence, the operator is only liable for breaches of essential contractual obligations. In such cases, liability is limited to foreseeable and typical damages.
The operator is not liable for user-generated content, third-party conduct, external websites, lost opportunities, failed contacts, reputational harm caused by other users, or agreements made outside the platform, unless mandatory law provides otherwise.
22. Indemnification
Users agree to indemnify and hold the operator harmless from claims, damages, losses, costs, and expenses arising from their uploaded content, misuse of the platform, violation of these Terms, violation of law, or infringement of third-party rights.
23. Account Termination
Users may stop using the platform at any time and may request deletion of their account, subject to legal retention obligations and technical backup periods.
The operator may suspend or terminate accounts where users violate these Terms, misuse the platform, create risks for other users, infringe third-party rights, or act unlawfully.
24. Privacy
Information on how personal data is processed is provided in the separate Privacy Policy of newfaces.global.
25. Changes to These Terms
The operator may update these Terms from time to time, especially due to changes in law, platform functionality, business model, payment features, or security requirements.
Users will be informed of material changes where legally required. Continued use of the platform after changes have become effective constitutes acceptance of the updated Terms, where legally permitted.
26. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules.
Mandatory consumer protection laws of the country in which a consumer has their habitual residence remain unaffected where legally required.
27. Contract Language
The contract language is English.
28. Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected. The invalid or unenforceable provision shall be replaced by the applicable statutory provision.
